Membership Agreement

Effective Date: February 1, 2024

1. Membership Terms

By signing this agreement, you agree to participate in the Professional Real Estate Gateway (PRG) Land Deals program.

2. Membership Fee

Standard membership requires a monthly fee of $200, providing full access to training materials, deal flow opportunities, and platform tools. Team Lead members are exempt from monthly fees.

3. Compensation Structure

• Deal Maker Payout: 30% of net deal profit
• Fast Close Bonus: Additional 5% if deal closes within 30 days (35% total)
• Team Lead Override: 30% monthly recurring commission on direct recruits' membership fees
• Passive Pool: 3% of net deal profit distributed among all active members (excluding the deal maker)

4. Lead Assignment

Leads are distributed based on availability, member activity, and deal history. Assigned leads must be accepted or rejected within the specified timeframe. Failure to respond may result in reduced priority for future assignments.

5. Deal Responsibilities

Deal makers are responsible for managing assigned deals from acquisition through closing. All expenses and sale prices must be accurately reported for payout calculations.

6. Payment Terms

Payouts are generated monthly and require administrative approval. Payments are processed within 30 days of approval. Team lead overrides are calculated based on active recruits' membership status.

7. Termination

Either party may terminate membership with 30 days written notice. Outstanding payouts will be processed according to standard terms. Membership fees are non-refundable.

8. Confidentiality

All member information, deal data, and proprietary training materials are confidential and may not be shared with third parties without written consent.

9. Compliance

Members must comply with all applicable federal, state, and local laws regarding real estate transactions. PRG is a technology platform and does not provide legal or real estate brokerage services.

10. Modifications

PRG reserves the right to modify these terms with 30 days notice. Continued membership after notification constitutes acceptance of modified terms.
