1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and PRG LandTech LLC, a Georgia limited liability company ("Company," "we," "us," or "our"), concerning your access to and use of the PRG LandTech website and platform (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility and Registration

2.1 Age Requirements

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are of legal age to form a binding contract.

2.2 Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

3. Description of Services

PRG LandTech operates an online marketplace and platform that connects buyers and sellers of real estate properties, with a focus on land investments. Our services include:

• Property listing and search functionality
• Buyer certification and verification programs
• Educational resources and training materials
• Market analysis and property data tools
• Communication facilitation between buyers and sellers
• Joint venture partnership opportunities (for qualified users)

Important: We are a technology platform and marketplace. We are NOT a licensed real estate broker, financial advisor, or legal service provider. All real estate transactions are between buyers and sellers directly.

4. User Responsibilities and Conduct

4.1 Prohibited Activities

You agree NOT to:

• Provide false, inaccurate, or misleading information
• Impersonate any person or entity
• Use the Platform for any illegal purpose or in violation of any laws
• Interfere with or disrupt the Platform's operation
• Attempt to gain unauthorized access to any part of the Platform
• Scrape, data mine, or use automated tools to collect information from the Platform
• Post or transmit spam, viruses, or malicious code
• Harass, threaten, or intimidate other users
• Use the Platform to solicit users for other services or platforms

4.2 Due Diligence

You are solely responsible for conducting your own due diligence on any property or investment opportunity. This includes, but is not limited to:

• Verifying property information and ownership
• Conducting property inspections and surveys
• Reviewing title reports and legal documents
• Assessing zoning, environmental, and regulatory compliance
• Evaluating financial viability and investment risks
• Consulting with qualified professionals (attorneys, accountants, real estate agents)

6. Payment Terms and Subscriptions

6.1 Subscription Fees

• Subscription fees are billed monthly or annually in advance
• Fees are non-refundable except as required by law
• We may change pricing with 30 days' advance notice
• You authorize us to charge your payment method for recurring payments
• You are responsible for all taxes associated with your subscription

6.2 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will be effective at the end of the current billing period. We do not provide refunds for partial months or unused time.

6.3 Transaction Fees

For certain services, including joint venture partnerships and property assignments, additional fees may apply as specified in separate agreements.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Platform and all content, features, and functionality are owned by PRG LandTech LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Platform, except as expressly permitted by these Terms.

7.2 User Content

By posting or submitting content to the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content.

8. Third-Party Content and Links

The Platform may contain links to third-party websites, services, or property listings. We do not control, endorse, or assume responsibility for any third-party content. Your interactions with third parties are solely between you and the third party.

Property information is provided by sellers and third-party data sources. While we strive for accuracy, we cannot guarantee the accuracy, completeness, or reliability of any property information.

11. Indemnification

You agree to defend, indemnify, and hold harmless PRG LandTech LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any law or rights of a third party
• Any content you submit or post
• Any real estate transactions you enter into

12. Governing Law and Jurisdiction

12.1 Governing Law

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

12.2 Venue and Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Georgia, and you hereby consent to personal jurisdiction and venue in such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any claim, you agree to first contact us at legal@prglandtech.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

13.2 Arbitration Agreement

If informal resolution fails, you agree that any dispute arising from these Terms or the Platform shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Georgia, and judgment on the award may be entered in any court having jurisdiction.

13.3 Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Termination

14.1 By You

You may terminate your account at any time by contacting us or using the account closure feature in your dashboard.

14.2 By Us

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse of the Platform or other users
• Request by law enforcement or government agencies

14.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

15. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

16. Electronic Communications

By using the Platform, you consent to receive electronic communications from us, including emails, text messages, and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing communications by following the unsubscribe instructions in those communications, but you cannot opt out of transactional or service-related communications.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last Updated" date at the top of this page
• Sending an email notification to your registered email address

Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Platform.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and PRG LandTech LLC regarding the Platform.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or governmental actions.
